Terms of Service

These Terms of Service ("Terms") govern your use of Alma Rev's website and services. By accessing our website or engaging with our services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our services.
1. Service Description
Alma Rev provides revenue intelligence consultancy services, including but not limited to:
- Revenue diagnosis and performance analysis
- AI-powered business assessments and recommendations
- CRM platform configuration and integration
- Process automation and workflow optimization
- Revenue strategy and architecture consulting
- Sales intelligence and analytics implementation
Services are provided on an as-requested basis through engagements, assessments, and consulting arrangements as agreed between Alma Rev and the Client.
2. Account Terms and Eligibility
Eligibility
By using our services, you represent and warrant that:
- You are at least 18 years of age or have obtained parental consent
- You have the authority to bind your company to these Terms
- Your use of our services complies with all applicable laws and regulations
- You will not use our services for any illegal or unauthorized purpose
Account Information
If you create an account or provide information to Alma Rev, you agree to:
- Provide accurate, complete, and truthful information
- Maintain the confidentiality of your account credentials
- Update your information as needed to keep it current and accurate
- Notify us immediately of any unauthorized access to your account
3. Payment Terms
Pricing and Billing
Pricing for services will be determined and agreed upon in a separate Statement of Work (SOW) or engagement agreement. Payment terms, including amounts, payment methods, and schedules, will be specified in the SOW.
Invoicing and Payment
- Alma Rev will issue invoices according to the terms specified in your engagement
- Invoices are due within the timeframe specified (typically 30 days from invoice date)
- All fees are non-refundable unless otherwise agreed in writing
- Late payments may accrue interest at 1.5% per month or the maximum allowed by law
Expense Reimbursement
Unless otherwise agreed, the Client is responsible for reimbursing reasonable out-of-pocket expenses incurred by Alma Rev in delivering services, with prior approval.
4. Intellectual Property Rights
Alma Rev IP
All intellectual property developed by Alma Rev prior to and outside the scope of the engagement, including but not limited to tools, methodologies, frameworks, templates, and software, remains the exclusive property of Alma Rev. You are granted a limited, non-exclusive license to use such materials solely for the purpose of the engagement.
Work Product
Deliverables, reports, and recommendations created specifically for your company as part of a paid engagement ("Work Product") are considered your property upon final payment. However, Alma Rev retains the right to reference the general approaches and methodologies used, provided no confidential client information is disclosed.
Client Intellectual Property
You retain all rights to your pre-existing intellectual property, data, and information provided to Alma Rev. By providing such materials, you grant Alma Rev a limited license to use them solely for the purpose of delivering services under your engagement.
Restrictions
You may not:
- Copy, modify, or distribute our intellectual property without express written consent
- Reverse engineer, decompile, or attempt to discover the underlying technology or methodologies
- Remove or obscure any proprietary notices or labels
5. Limitation of Liability
Disclaimer of Warranties
Our services are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, Alma Rev disclaims all warranties, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
Limitation of Damages
To the fullest extent permitted by law, Alma Rev's total liability for any claim arising from or related to these Terms or our services shall not exceed the total amount paid by you to Alma Rev in the 12 months preceding the claim.
No Consequential Damages
In no event shall Alma Rev be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of data, or business interruption, even if advised of the possibility of such damages.
Assumption of Risk
You acknowledge that the recommendations and services provided by Alma Rev are based on analysis of available information at the time of the engagement. Results are not guaranteed, and actual business outcomes may vary based on market conditions, implementation, and other factors beyond Alma Rev's control.
6. Termination
Termination by Client
You may terminate an engagement by providing written notice to Alma Rev. Payment obligations for services rendered up to the termination date remain due and payable.
Termination by Alma Rev
Alma Rev may terminate an engagement if:
- You breach these Terms and fail to cure within 30 days of written notice
- Payment is more than 60 days overdue
- You request illegal or unethical activities
- Continuing the engagement poses legal or reputational risks to Alma Rev
Effects of Termination
Upon termination, all payment obligations become immediately due and payable. Alma Rev will return or delete your confidential information as required by law, retaining only copies as necessary for legal compliance.
7. Confidentiality
Confidential Information
Each party agrees to maintain the confidentiality of the other party's confidential information, including business strategies, financial data, client lists, and proprietary processes, disclosed during the engagement.
Permitted Disclosures
Confidential information may be disclosed only to:
- Employees and contractors with a need to know
- Legal, accounting, and professional advisors bound by confidentiality
- Courts or government agencies as required by law
Duration
Confidentiality obligations survive termination of the engagement and continue for a period of 3 years, unless information becomes publicly available through no breach of these Terms.
8. Governing Law and Dispute Resolution
Governing Law
These Terms are governed by the laws of Brazil, without regard to its conflicts of law principles. However, if the Client is based outside Brazil, the parties may agree to alternative governing law provisions.
Dispute Resolution — Brazil
For disputes arising under Brazilian law:
- The parties agree to attempt to resolve disputes through good faith negotiation
- If negotiation fails, the parties agree to binding arbitration administered by the Brazilian Arbitration Association (CAM-CCBC) or similar arbitration body
- Arbitration shall be conducted in Portuguese unless parties agree otherwise
- The arbitration seat shall be São Paulo, Brazil
International Arbitration Option
For international engagements, the parties may mutually agree to international arbitration under the International Chamber of Commerce (ICC) Rules or UNCITRAL Arbitration Rules, with the seat of arbitration to be determined by mutual agreement.
Preliminary Resolution
Before initiating arbitration, the parties agree to engage in good faith negotiations for at least 30 days to resolve the dispute. Either party may initiate arbitration if negotiations do not result in resolution.
9. Indemnification
Your Indemnification
You agree to indemnify, defend, and hold harmless Alma Rev from any claims, damages, losses, and expenses (including legal fees) arising from:
- Your violation of these Terms or applicable law
- Your use of our services in an unauthorized manner
- Infringement of third-party rights based on your data or directions to Alma Rev
- Your failure to implement recommendations correctly
Alma Rev's Indemnification
Alma Rev will indemnify you against third-party claims that our deliverables infringe intellectual property rights, provided you have not modified the deliverables without our consent.
10. Use of Services and Restrictions
Acceptable Use
You agree to use our services only for lawful purposes and in compliance with applicable laws. You may not:
- Use our services for any illegal or fraudulent purpose
- Attempt to gain unauthorized access to our systems or services
- Disrupt the normal operation of our website or services
- Use our services to harass, threaten, or harm others
- Transmit viruses, malware, or any malicious code
- Scrape or extract data from our website without permission
Consequences of Misuse
Violation of these restrictions may result in immediate termination of your access and potential legal action.
11. Third-Party Services and Integrations
Our services may integrate with third-party platforms (e.g., CRMs, analytics tools, automation platforms). Your use of these integrations is subject to those third parties' terms and privacy policies. Alma Rev is not responsible for third-party service failures, data loss, or policy changes.
12. Modifications to Terms and Services
Changes to Terms
Alma Rev may modify these Terms at any time. Material changes will be communicated via email or posted on our website. Continued use of our services constitutes acceptance of modified Terms.
Changes to Services
Alma Rev reserves the right to modify, suspend, or discontinue services at any time, with reasonable notice to clients.
13. Entire Agreement
These Terms, together with any Statement of Work or engagement agreement, constitute the entire agreement between you and Alma Rev regarding the use of our services. Any prior negotiations, representations, or agreements are superseded by these Terms.
14. Severability
If any provision of these Terms is found to be invalid or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.
